INTERNET SERVICES AGREEMENT

In Nea Ionia of Attica, Greece, the contracting parties:

A. Societe Anonyme "SKROUTZ SOCIETE ANONYME INTERNET SERVICES" with registered office in Nea Ionia of Attica, Al. Panagouli 91, so forth called "Providing Company"

and

B. the counterparty, so forth called the "Client"

herein agree that this Agreement is a commercial agreement and determined and accepted by them with the following provisions:

Service
Offering to members/consumers the ability to be informed over the internet about current product offerings and prices regarding the products sold and displayed by our partnered shops web pages, through the classification and presentation of these products into relevant categories and sorting them based on their price and point of sale.
Skroutz Site
www.skroutz.gr
User
Real and legal persons who are going to benefit from the Service provided by Skroutz under this Agreement.
Visitor
The consumers who visit the electronic store of the User through www.skroutz.gr and click the products.
  1. Article 1

    1. Skroutz is the exclusive right holder of the internet address (domain name) under "www.skroutz.gr" that offers to visitors the ability to be informed over the internet about current product offerings and prices regarding the products sold and displayed by our partnered shops web pages, through the classification and presentation of these products into relevant categories and sorting them based on their price and point of sale.

      Skroutz agrees to publish the information provided through its own web page for the products traded by the User, on the electronic page owned by Skroutz, under the conditions set in this Agreement. The User hereby consents to and approves the publication of the aforementioned information collected by Skroutz. The User also consents and approves the publication of its physical address (if any) and a telephone number provided by the User for consumer support ("contact information"). Refusal of publication of the contact information or publication of false contact information shall be deemed a reason to terminate this Agreement unilaterally by Skroutz.
    2. For the publication of the aforementioned information to take place on the Skroutz Site, the following minimum requirements shall be valid for the entire duration of this Agreement. Failure to comply with these shall be deemed a reason to terminate this Agreement unilaterally by Skroutz:
      1. The presence of an electronic basket and the ability to accept orders via the internet
      2. At least two different payment methods throughout Greece and the mandatory acceptance of credit or debit cards and
      3. Any additional cost, including but not limited to the shipping cost shall be calculated during checkout.
    3. It is hereby agreed that the service provided by Skroutz is the publication of the information that will be collected from the web page of the User and that information will not be elected or changed. Such publication shall not constitute a starting point for the transfer of the aforementioned information but creates a method of access by constituting a connection to the relevant web site of the User.
    4. It is hereby agreed that, Skroutz reserves the right to inspect the information provided by the User, to refrain from any possible mistakes misleading the Visitor, to ensure that the Visitors are provided with accurate information and the Visitors’ economic behavior is not affected negatively. For this purpose, the User shall be notified by Skroutz via electronic messages to hide its products temporarily or permanently and to make adjustments or additions to the information provided by the User, until the correction or addition of the necessary information and the User shall immediately make the necessary corrections.

      Skroutz shall choose which products will be displayed on the Web Site amongst the product list provided by the User, reserving the right to refrain from displaying products which are outdated, of no commercial interest, not relevant with the rest of the products displayd on the Web Site or which require additional work for their indexing.
    5. In the scope of ensuring quality and relevancy of the service provided, the User approves, if such a request is made, to include electronic code in its website, via which Skroutz shall receive anonymised information relating to consumer behavior, especially items sold to Visitors who were redirected to the User’s website via the Web Site. The electronic code shall be provided and updated by Skroutz. The User hereby agrees not to tamper or hinder the function of the electronic code and will refrain from copying, reverse-engineering or distributing the electronic code without Skroutz’s prior written approval. The anonymised information shall be visible only to the parties herein and will not be provided to any third party unless otherwise directed by a competent authority or relevant legislation. Skroutz reserves the right to publish anonymised statistical data about products or categories of products for informational and statistical purposes without identifying the User. If the User purposefully terminates the transmission of the anonymised information aforementioned, Skroutz reserves the right to suspend the provision of the service described herein until the transmission of the anonymised information is restored.
    6. It is hereby agreed that, Skroutz reserves the right to inspect the information provided by the User, to refrain from any possible mistakes misleading the Visitor, to ensure that the Visitors are provided with accurate information and the Visitors’ economic behavior is not affected negatively. For this purpose, the User shall be notified by Skroutz via electronic messages to hide its products temporarily or permanently and to make adjustments or additions to the information provided by the User, until the correction or addition of the necessary information and the User shall immediately make the necessary corrections.
    7. Skroutz provides the Electronic Information System (shall be hereinafter referred to as "Skroutz Merchants System") to the use of the User. The User shall be required to connect to Skroutz Merchants System and make the necessary adjustments on the private web page where Skroutz publishes the aforementioned information, especially in case of any change in (a) the basic information of the User, especially its address, telephone number, electronic address, e-mail, and (b) information effecting the economic behavior of the Visitors especially related with the payment methods and options of the User, delivery costs of the products, installment sale options of the User and any other payment effecting the final price of the product or service. If the User does not make the necessary corrections in Skroutz Merchants System based on the following provision due to any reason, it shall notify Skroutz by providing it with the necessary information to fulfill the mandatory changes. In order to refrain from misleading the Visitors, the User shall be obliged to connect to Skroutz Merchants System or inform Skroutz as soon as possible as of the receipt of new information that is required to be corrected, and in any case, within 24 hours, for the realization of the aforementioned changes.
  2. Article 2

    1. The service provided by Skroutz, as described herein, is of indeterminate period, in exchange for which the User shall provide a service fee, as calculated and regulated in the "Financial Terms" document which constitute an integral part of this Agreement.
    2. The User undertakes that the rights and obligations within the scope of this Agreement shall not be assigned or transferred to a third party, either in part or in whole, without the prior written approval of Skroutz.
  3. Article 3

    1. The User agrees and undertakes to be liable for refraining from performing the following actions as long as the above-mentioned service is provided to it:
      1. Any action or omission misleading the Visitor regarding the features of the displayed products, stocks and suggested sale prices. For example, the User is prohibited to send information on used products, bad stock products, products with uncertain stock status, finished and/or old products, to Skroutz, to be displayed through the web page;
      2. Providing information that may cause danger in misleading the Visitor by effecting the economic behavior in terms of content and type;
      3. Practices capable of creating conditions that may cause unfair competition in the commercial activities of the other users of the service;
      4. Execution of transactions that may cause defect or dysfunction (e.g. collective messaging, spam etc) in general and collection and compilation of the personal information related with the users-members of Skroutz;
      5. Any transaction or omission prohibited under the greek law Ν. 2251/1994 on Protection of Consumer, the Presidential Decree Π.Δ. 131/2003 and the relevant applicable regulations on electronic trade and other relevant regulations.
    2. In the event that Skroutz becomes aware of any breach of the above-mentioned clauses, such a breach shall be deemed a reason for Skroutz to suspend the provision of the service described in this Agreement for a minimum of 24 hours and until the full and complete compliance of the User and to terminate the provision of the service described in this Agreement in case of non-compliance or of repeated breach of the above-mentioned clauses.
  4. Article 4

    1. The User unconditionally agrees that negative and/or positive comments published by a registered user of the Skroutz Web Site may be displayed in the web page of Skroutz, as to the products or services offered through the User’s web page (electronic store).
    2. Negative comments shall be displayed on Skroutz Web Site provided that the User is informed on the content ten (10) days in advance. The User may respond to any negative comment and the response shall be displayed on the same Skroutz Web Site page.
    3. It is hereby agreed that if Skroutz receives repetitive negative comments for the User, especially regarding the availability of the products, the accuracy of the prices or any repetitive failure to provide accurate information by the User, Skroutz may unilaterally terminate this Agreement without suffering any damage and permanently removing the User and the User’s products from the Skroutz Web Site.
    4. The User shall refrain from any action or lack thereof capable of manipulating the comments published on the Skroutz Web Site, especially to refrain from publishing comments from computers operating inside the User’s physical store and to refrain from publishing comments by the User’s employees or any affiliated person. Breach of the obligations set in this paragraph shall constitute reason to unilaterally terminate this Agreement without Skroutz suffering any damage.
    5. It is unconditionally agreed that comments by registered users and the User’s response to such comments are published to the discretion of Skroutz and Skroutz reserves the right to remove comments published within a specific period of time or by specific registered user(s).
  5. Article 5

    1. It is hereby stipulated that the information belonging to the User and registered at the data base of Skroutz shall be updated automatically once a day, between 00:00 and 09:30. Skroutz shall not be liable for the content differences based on the changes following the update time or the content update vulnerabilities arising from the defects in the operation of the equipment of the User.
    2. If the User is temporarily and/or permanently omitted from the list of products and firms displayed on the Skroutz Web Site due to the breach of the conditions stipulated in this agreement and Skroutz withdraws its approval, the prepaid amount of the fee corresponding to the remaining term when the service will not be used, shall not be returned to the User.
    3. In case of any malfunction arising from any defect in the equipment of Skroutz and it is agreed that Skroutz shall not assume liability for any possible incidental or consequential damage suffered by the User. If the malfunction or disruption of service exceeds a three (3) month period, the User may request the termination of this Agreement.
    4. In case of any malfunction in the network management of Skroutz arising from any defect in the equipment of the User and causing inaccuracy in the display of the information on the Skroutz web site, Skroutz shall be entitled to suspend the service temporarily, by serving a written notice to the User, in order not to mislead its Visitors, until the correction of the defect by the User. In such case, Skroutz shall not assume liability for any possible incidental or consequential damage suffered by the User and the return of the agreement cost paid for the period when the service is not used due to the grounds attributable to the User.
  6. Article 1

    1. Skroutz may terminate this Agreement at any time by serving a proper, written termination notice to the User.
    2. The User may terminate this Agreement by serving a written termination notice to Skroutz. The termination shall be take effect the day after the written termination notice is served to Skroutz and provided that all the contractual obligations are fulfilled until the termination.
  7. Article 7

    This Agreement constitutes the agreement between the parties and supersedes any oral or written agreement between the parties. Any change in the articles of this Agreement shall be valid only if made in writing.
